Acceptance of Terms

By accessing or using the Soleil Studio website at soleilstudio.live ("Site"), submitting an application, or engaging with any of our services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Site.

We reserve the right to update or modify these Terms at any time. Continued use of the Site following any changes constitutes your acceptance of the revised Terms.

Eligibility

Our services are available exclusively to individuals who meet all of the following criteria:

• You are at least 18 years of age
• You are legally permitted to work as an independent contractor in your country of residence
• You have the legal right to enter into a binding agreement
• You are not located in a jurisdiction where accessing or participating in this type of service is prohibited by law

Nature of the Relationship

Models who work with Soleil Studio do so as independent contractors. Nothing in these Terms or any associated agreement shall be construed to create an employment, partnership, joint venture, or agency relationship between you and Soleil Studio.

As an independent contractor, you are solely responsible for managing your own tax obligations, insurance, and compliance with the laws of your country of residence. Soleil Studio will provide annual earnings summaries to assist with tax reporting but does not withhold taxes on your behalf.

Use of the Website

You agree to use this Site only for lawful purposes and in a manner that does not infringe the rights of others. You agree not to:

• Submit false, misleading, or fraudulent information in any application or communication
• Attempt to gain unauthorized access to any part of the Site or its systems
• Use the Site in any way that could damage, disable, or impair its functionality
• Scrape, copy, or redistribute any content from the Site without prior written consent
• Use the Site if you are under 18 years of age

Application & Interview Process

Submitting an application does not guarantee acceptance into our program. Soleil Studio reserves the right to accept or decline any application at its sole discretion, without obligation to provide a reason.

All application information and interview communications are treated as confidential. We will not share your personal details with third parties without your consent, except as required by law.

Content & Conduct

Models accepted into the program agree to conduct themselves in accordance with the platform guidelines and any separate model agreement provided at onboarding. This includes but is not limited to:

• Complying with all applicable laws regarding the content you create and broadcast
• Not creating or distributing content involving minors under any circumstances
• Respecting the boundaries and consent of any third party involved in your content
• Maintaining the confidentiality of platform-specific information shared during onboarding

Soleil Studio reserves the right to terminate any model agreement immediately and without notice in the event of a breach of these conditions.

Earnings & Payouts

Earnings are processed twice per month in accordance with the platform's payout schedule. Soleil Studio does not guarantee any minimum level of earnings. Income is variable and dependent on factors including hours streamed, audience engagement, and platform performance.

Full details regarding payout methods, minimum thresholds, and processing timelines will be provided in the model agreement at onboarding. [Full payout terms to be finalized prior to launch.]

Intellectual Property

All content on this website — including text, design, graphics, and branding — is the property of Soleil Studio and may not be reproduced, distributed, or used without prior written permission.

Rights relating to content created by models during their engagement with Soleil Studio are outlined in the individual Independent Model Agreement, which must be signed prior to any live sessions commencing.

Earnings Disclaimer

Any earnings figures referenced on this website or in associated marketing materials are illustrative ranges based on historical activity within our network and are provided for informational purposes only. They do not constitute a guarantee, promise, or representation of income you will earn.

Actual earnings vary significantly based on hours worked, audience engagement, platform algorithms, market conditions, and individual performance. Soleil Studio makes no warranty, express or implied, regarding the level of income any model will achieve. You should not rely on any earnings figures in making a decision to apply or participate.

Platform Risk

Soleil Studio operates in conjunction with third-party broadcasting platforms. The Model acknowledges and accepts that:

• Third-party platforms may change their terms of service, revenue share structures, or content policies at any time without notice to Soleil Studio
• A platform may suspend, restrict, or permanently ban a model's account for violations of their policies, whether or not Soleil Studio has prior knowledge of such violations
• Soleil Studio bears no liability for loss of earnings, account suspension, or any other consequence arising from a third-party platform's decisions or policy changes
• In the event a platform materially changes its revenue share structure, Soleil Studio will notify affected models within a reasonable timeframe and both parties may renegotiate or terminate the model agreement

Limitation of Liability

To the fullest extent permitted by applicable law, Soleil Studio shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of this Site or participation in our program.

We make no warranties, express or implied, regarding the availability, accuracy, or completeness of any information on this Site.

Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, United States of America, without regard to its conflict of law provisions.

Any dispute arising out of or relating to these Terms shall first be submitted to good faith negotiation between the parties. If the dispute is not resolved within 30 days, both parties agree to submit to binding arbitration administered under the rules of the American Arbitration Association (AAA) in St. Petersburg, Florida. The arbitration shall be conducted in English. The decision of the arbitrator shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

Notwithstanding the foregoing, either party may seek emergency injunctive or equitable relief from a court of competent jurisdiction in Pinellas County, Florida to prevent irreparable harm pending arbitration.

You waive any right to participate in a class action lawsuit or class-wide arbitration against Soleil Studio.

2257 Compliance

Soleil Studio operates as a secondary producer as defined under 18 U.S.C. § 2257. Age verification and government-issued identification records for all performers are collected, verified, and maintained directly by the third-party broadcasting platforms models work on. Soleil Studio does not independently store or process identity documents.

All models are required to complete the platform's age verification process before commencing any live sessions. Models who have not completed platform verification will not be permitted to go live under any circumstances.
