Independent Model Agreement

Nature of the Relationship

The Model is engaged by Soleil Studio as an independent contractor, not as an employee, partner, or agent. Nothing in this Agreement shall be construed to create an employment relationship of any kind.

As an independent contractor, the Model is solely responsible for:

• Managing and paying all applicable taxes in their country of residence
• Obtaining any licenses or permits required to conduct this type of work in their jurisdiction
• Their own health, liability, and equipment insurance
• Compliance with all laws applicable to their location and activities

Soleil Studio will provide an annual earnings summary to assist with tax reporting but does not withhold taxes on the Model's behalf under any circumstances.

Services

The Model agrees to perform live webcam broadcasting services on the platform(s) designated by Soleil Studio. The specific nature, format, and content of sessions is determined by the Model within the boundaries established in Section 05 of this Agreement.

Soleil Studio will provide:

• Access to the designated broadcasting platform(s)
• Onboarding guidance and initial setup support
• A dedicated manager for ongoing coaching and account management
• Privacy tools including geo-blocking by country or region
• Twice-monthly payout processing

Schedule & Availability

The Model is not required to work any minimum number of hours. However, the Model acknowledges that consistent scheduling directly affects platform visibility, audience growth, and earnings potential.

The Model agrees to:

• Communicate their intended schedule to their assigned manager
• Provide reasonable advance notice if they are unable to fulfill a scheduled session
• Understand that irregular or inconsistent activity may negatively impact their platform score and traffic

Soleil Studio does not impose mandatory hours but reserves the right to review account activity and provide coaching recommendations based on performance data.

Earnings & Payouts

The Model will receive a percentage of revenue generated through their account as agreed during onboarding. The specific revenue share percentage is outlined below:

Soleil Studio does not guarantee any minimum level of earnings. Income is variable and dependent on hours streamed, audience engagement, platform algorithms, and market conditions.

The Model will have access to a real-time earnings dashboard at all times. Payouts will be accompanied by a full breakdown of transactions for that period. There are no hidden deductions or undisclosed fees.

Content & Conduct

The Model has full autonomy over the content they create and the boundaries they set. Soleil Studio does not dictate specific acts, categories, or content formats. However, the Model agrees to the following absolute prohibitions:

• No content involving minors under any circumstances — this is an absolute and non-negotiable condition
• No content involving non-consenting parties
• No content that violates the laws of the Model's country of residence or the platform's terms of service
• No impersonation of other models, public figures, or Soleil Studio personnel
• No disclosure of confidential platform or business information to third parties

The Model is encouraged to clearly communicate their personal limits to their manager prior to their first session. Soleil Studio will enforce those limits and will never pressure the Model to engage in content outside their stated comfort level.

Privacy & Identity

Soleil Studio takes the privacy of its models seriously. The following protections are available to all models:

• The Model may use any screen name they choose — their legal name will never be disclosed publicly
• Geo-blocking tools are available to restrict visibility by country or region
• The Model's personal contact information will never be shared with platform users
• The Model's legal identity will be kept strictly confidential within Soleil Studio's internal records

The Model acknowledges that Soleil Studio may be required to disclose identity information to legal authorities if compelled by a valid court order or legal process.

Intellectual Property

All content created by the Model during live sessions is the joint property of the Model and Soleil Studio unless otherwise agreed in writing. The Model grants Soleil Studio a non-exclusive license to use session recordings, promotional clips, and thumbnail images solely for the purpose of promoting the Model's account and Soleil Studio's services.

The Model retains the right to request removal of any specific content through a formal DMCA takedown process. Soleil Studio does not process informal or verbal removal requests. All content removal is handled exclusively through Rulta, Soleil Studio's designated third-party DMCA takedown service. The Model may submit a removal request by contacting apply@soleilstudio.live with the subject line "DMCA Removal Request" and Soleil Studio will submit the request through Rulta on the Model's behalf.

The Model agrees not to reproduce, distribute, or sell content created under this Agreement through channels outside of the designated platform without prior written consent from Soleil Studio.

Confidentiality

Both parties agree to maintain strict confidentiality regarding:

• The terms and revenue share structure of this Agreement
• Internal business processes, systems, and strategies of Soleil Studio
• The identities of other models working with Soleil Studio
• Any proprietary platform access credentials or tools provided during onboarding

This confidentiality obligation survives the termination of this Agreement.

Term & Termination

This Agreement commences on the date signed by the Model and continues until terminated by either party. This Agreement is at-will — either party may terminate at any time for any reason or no reason, without advance notice, without penalty, and without obligation to provide an explanation.

Soleil Studio reserves the right to terminate this Agreement immediately and without notice in the event of:

• Any violation of Section 05 (Content & Conduct) prohibitions
• Fraudulent misrepresentation of age or identity
• Breach of confidentiality obligations
• Any conduct that brings Soleil Studio into disrepute or creates legal liability

Upon termination, any outstanding earnings accrued up to the termination date will be paid out at the next scheduled payout date, provided no outstanding disputes exist.

Representations & Warranties

The Model represents and warrants that:

• They are at least 18 years of age and have provided valid government-issued ID confirming this
• They have the full legal right and capacity to enter into this Agreement
• Entering into this Agreement does not violate any other agreement or obligation they are bound by
• All information provided during the application and onboarding process is truthful and accurate
• They are legally permitted to perform this type of work in their country of residence

Limitation of Liability

To the fullest extent permitted by applicable law, Soleil Studio shall not be liable for any indirect, incidental, or consequential damages arising from the Model's participation in the program, including but not limited to loss of earnings, reputational harm, or technical platform issues outside Soleil Studio's control.

Soleil Studio's total liability to the Model under this Agreement shall not exceed the total earnings paid to the Model in the 30 days preceding the claim.

Governing Law & Disputes

This Agreement shall be governed by and construed in accordance with the laws of the State of Florida, United States of America. Any disputes arising under this Agreement shall first be attempted to be resolved through good faith negotiation between the parties.

If a dispute cannot be resolved through negotiation within 30 days, both parties agree to submit to binding arbitration in the State of Florida before pursuing litigation. The prevailing party shall be entitled to recover reasonable legal fees and costs.

The Model acknowledges that they are responsible for compliance with the laws of their own jurisdiction and that Florida law governs the relationship between the parties regardless of the Model's location.

Entire Agreement

This Agreement constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior discussions, representations, and understandings. Any amendments to this Agreement must be made in writing and signed by both parties.

If any provision of this Agreement is found to be unenforceable, the remaining provisions shall continue in full force and effect.
